1. What is the purpose of this system? 

Through this system, the Company aims to offer its shareholders the possibility of choosing whether they prefer to receive their entire or partial remuneration in cash, by either collecting the cash dividend or selling the corresponding rights on the market, or in new, fully paid-up shares of Iberdrola, S.A.

2. If I want to receive my remuneration in cash, what should I do? 

If you wish to receive your remuneration in cash, you must notify your depositary institution within the established deadlines that you wish to waive your free allocation rights and receive the Interim Dividend.  

Alternatively, if you want to sell the rights on the market, you must also inform your depositary institution of your choice.

3. If I want to receive my remuneration in shares, what should I do? 

If you wish to receive new, fully paid-up shares of Iberdrola, S.A., you must keep your rights until the end of the trading period. If you want to, you can notify your depositary institution, although this is not necessary as this option will be applied by default.

4. Can I choose to receive part of my remuneration in shares and part in cash? 

Yes. You can combine the different options according to your needs. To do so, you must notify your institution of the chosen options within the election period.  

Please note that choosing one remuneration option excludes the possibility of selecting any of the other two for the free allocation rights concerning which the option is exercised.

5. What happens if I do not notify my institution of any choice? 

In this case, the default option will apply, meaning you will receive new, fully paid-up shares of Iberdrola, S.A., based on the number of free allocation rights you hold and the number of rights required to obtain a new share.

6. How many rights will I receive? 

You will receive one free allocation right for each Iberdrola, S.A. share you own on the reference date within the framework of the capital increase.

7. How many rights will I need to receive a new share? 

The number of rights required to receive a new Iberdrola share will be calculated on the basis of Iberdrola’s share price on 25, 26, 27 and 30 June and 1 July 2025 (the five days prior to approval of the launch of the operation), as well as the formulas approved by the 2025 General Shareholders’ Meeting and available on this website. The final number will be announced on 2 July 2025.

8.  If I want to receive more shares than my free allocation rights allow, can I acquire more rights? 

Yes. You may purchase additional free allocation rights on the market to receive more new shares of Iberdrola, S.A.

9. What happens with rights that are insufficient to receive a new share? 

In this case, your depositary institution will sell these rights on the market and credit you with the resulting amount from the sale.

10. What will I receive if I choose cash remuneration? 

If you choose to sell your rights on the market, you will receive the proceeds from the sale of those rights, which will depend on their market value at the time of sale, whereas if you choose to receive the Supplementary Dividend you will receive at least €0.404 gross per share. The final amount of the Supplementary Dividend will be announced on 2 July 2025.
